Terms of Service

These Terms of Service, hereinafter the “Terms” or the “Agreement”, govern your access to and use of AskRoby, available at www.askroby.io, and related services, features, applications and tools, together the “Services”.
The Services are provided by José Julio Córdova Jaramillo, a natural person with RUC 1707017693001, operating commercially under the brand AskRoby, hereinafter “AskRoby”, “we” or “our”.
The natural or legal person who creates, contracts or uses an Account in accordance with these Terms will be called the “Client” or “you”.
AskRoby is a document intelligence service that allows you to upload documents and other content, process, organize and consult them using search and artificial intelligence functions.
AskRoby can be used by individuals, professionals, companies and other organizations.
By ticking the corresponding box — when creating an Account, when AskRoby asks you to accept a new version of these Terms, or when accepting them on behalf of an organization — you accept and electronically enter into these Terms. AskRoby may keep evidence of that acceptance, including the Account, document version, archived copy or reference, hash, language, date and time, reasonably necessary technical information and other elements intended to substantiate the conclusion and content of the Agreement. If you are acting on behalf of a company or other organization, you represent that you have sufficient authority to accept these Terms and bind it.
If you do not agree to these Terms, you must not use the Services.
1. Definitions
For these Terms:
“Account” means the account used to access AskRoby.
“Client” means the natural or legal person who contracts or uses AskRoby in accordance with these Terms.
“Authorized User” means any person whom Customer allows to access the Services through an organization, workspace, invitation or other mechanism permitted by AskRoby.
“Content” means documents, files, photographs, images, text and other materials that Customer or its Authorized Users provide to AskRoby, as well as representations processed from them.
“Memory” means a documentary unit created within AskRoby from the Content provided by the Client.
“Free Plan” means the free tier of the Services available at any given time.
“Subscription” means a recurring payment plan from AskRoby.
“Top-up” means an additional purchase of capacity, queries, credits or other Service resources separate from the Recurring Subscription.
2. Who can use AskRoby
2.1. Natural persons and organizations
AskRoby can be used by natural and legal persons.
A natural person may use AskRoby for personal, professional, commercial or property purposes, including, for example, document or property management.
When a person accepts these Terms on behalf of a company or other organization, that organization is the Customer and the person represents that they have authority to bind it.
Authorized Users of an organization are subject to these Terms, but do not individually enter into a new organizational agreement simply by accepting an invitation.
2.2. Age and use by minors
You must be at least 18 years old to sign up for AskRoby on your own.
If you are under 18 years of age, you may only use AskRoby when your parent or legal representative has created the Account or has expressly authorized your use of AskRoby and has accepted the applicable terms and notices.
By creating an Account, you represent that the information you provide regarding your age and ability to agree to these Terms is true.
You must not falsely declare that you are of legal age to avoid these requirements.
AskRoby does not systematically carry out identity or age verifications and therefore cannot guarantee that no minor will attempt to create or use an Account in contravention of these rules.
AskRoby may suspend or restrict an Account when it has reasonable grounds to believe that it is being used by a minor without the required authorization.
3. Account creation and security
You must provide true, complete and up-to-date information when creating or managing an Account.
You are responsible for maintaining the security of your credentials and activities conducted using your Account, except to the extent that an activity is directly attributable to a security breach attributable to AskRoby.
You must notify us without delay at support@askroby.io if you suspect that your Account has been compromised or used without authorization.
3.1. Multi-factor authentication
AskRoby requires multi-factor authentication for access to protected information.
Users have an initial period of four days to configure the second required factor.
Once this period has ended, if multi-factor authentication has not been configured, the user will be able to log in when technically appropriate, but will not be able to access documents and other protected information until the required configuration is completed.
The Client is responsible for keeping the devices, applications, codes or other mechanisms used as a second factor under its control.
4. The Services
AskRoby allows, among other functions:
- upload compatible documents, photos and files;
- convert and process documents;
- generate optimized page images;
- extract and digitize text;
- organize and index information;
- perform searches;
- generate embeddings and other representations necessary for information recovery;
- ask questions about the Content;
- generate responses assisted by artificial intelligence;
- identify relevant pages or fragments;
- share information using available functions; and
- use other features that AskRoby incorporates in the future.
AskRoby may establish reasonable limits according to the contracted Plan, including limits on Memory, storage, file size, processing volume, queries or other functionalities.
The specific features and limits applicable to each Plan are displayed in the Service or on the applicable pricing page.
5. AskRoby User License
As long as you comply with these Terms, AskRoby grants you a limited, non-exclusive, non-sublicensable right except with respect to Authorized Users, and revocable under these Terms to use the Services during the term of your Account.
If the Client is a company or organization, it may allow the use of AskRoby to its Authorized Users in accordance with the functionalities and limits of the contracted Plan.
The Client will be responsible for managing the accesses granted to its Authorized Users.
6. Your Content
The Client retains any rights it has over its Content.
We do not transfer ownership of the Content to AskRoby by uploading or processing it.
The Client grants AskRoby a limited, worldwide license for the time strictly necessary to:
- receive;
- store;
- convert;
- reproduce technically;
- process;
- index;
- transmit to authorized suppliers;
- automatically analyze;
- show to the Client;
- create derivative representations necessary for the Service; and
- delete
Content solely to the extent necessary to operate, maintain, secure and provide the Services.
This license terminates when it is no longer necessary to provide the Services or complete the corresponding removal processes, unless applicable legal obligation.
7. Customer Responsibility for its Content
Customer is responsible for determining what information it provides to AskRoby.
You represent that you have the necessary rights, permissions, legal bases and authorizations to provide such Content and allow its processing in accordance with these Terms.
You must not use AskRoby to process information where you do not have the right to do so.
When the Client, whether a natural or legal person, processes Personal Data of third parties as Controller and AskRoby processes it on behalf of the Client, AskRoby's Data Processing Agreement will also apply, to the corresponding extent.
8. Document processing and retention of original files
AskRoby processes the documents provided by the Client to convert them into Memories usable by the Service.
The original file you upload may be temporarily retained to allow automatic page processing and recovery.
AskRoby tries to delete said original file within a maximum period of approximately two days.
Subsequently, as long as the Memory remains active, AskRoby may retain the representations necessary to provide the Service, including optimized page images, extracted text, embeddings, indexes and associated metadata.
AskRoby is not a permanent archiving service for original documents nor is it a substitute for your own backup copies.
You must keep at your own expense the originals and copies that you need for personal, professional, commercial, legal, tax, regulatory or archival reasons.
9. Artificial Intelligence
AskRoby uses artificial intelligence systems for certain reading, extraction, organization, search and response generation functions.
Content necessary to perform such functions may be processed by authorized artificial intelligence providers, as further explained in the Privacy Policy and, where applicable, the DPA.
AskRoby does not use the Client's documents to train or fine-tune its own models.
10. Artificial intelligence results
Artificial intelligence technologies can produce errors.
The answers can be:
- inaccurate;
- incomplete;
- ambiguous;
- outdated;
- incorrectly interpreted; or
- not reflecting all the relevant content of a document.
The Client is responsible for reviewing the original source and verifying the information before making relevant decisions.
AskRoby is not a substitute for legal, financial, tax, medical, accounting, professional or specialized advice.
You should not use a response generated by AskRoby as the sole basis for a decision where an error could result in material consequences.
The dates, alerts, and reminders of AskRoby are an aid and do not replace reading the original contract. The Client is responsible for verifying them. To the maximum extent permitted by law, AskRoby will not be liable for expiry dates, notice windows, renewals, or price increases that are not detected, not notified, or notified late, or for the loss of opportunities that results from them, without prejudice to the other limitations of liability in these Terms.
11. Service Availability
AskRoby seeks to provide a reliable Service, but does not guarantee uninterrupted availability or a specific percentage of uptime, unless there is a separate agreement that expressly establishes a service level.
The Services may be interrupted by:
- maintenance;
- updates;
- errors;
- supplier failures;
- telecommunications;
- security incidents;
- force majeure events; or
- other circumstances reasonably necessary to protect or maintain the Service.
AskRoby may modify, improve, replace or remove functionality where there is a reasonable reason to do so.
Where a change materially affects a paid Service, we will endeavor to provide reasonable advance notice where possible.
12. Acceptable use
You cannot use AskRoby to:
- violate the law or rights of third parties;
- upload Content that you are not authorized to process;
- infringe copyright, intellectual property, privacy or confidentiality;
- distribute malware, malicious code or content designed to compromise systems;
- attempt to gain unauthorized access to accounts, infrastructure or information;
- deliberately probe, exploit or violate security mechanisms;
- reverse engineer, decompile or disassemble the Services except to the extent expressly permitted by law;
- deliberately interfere with the stability or availability of the Services;
- automate a use that manifestly exceeds the reasonable limits of the Plan;
- circumvent technical limits, usage restrictions or billing controls;
- create multiple Accounts to abuse free trials or benefits;
- use AskRoby to commit fraud, deception or unlawful impersonation;
- use the Services for activities that involve child sexual exploitation or abuse; or
- help third parties to carry out any of the above behaviors.
If AskRoby becomes reasonably aware of potentially unlawful content or activity, it may suspend access, preserve information where required by law, and cooperate with competent authorities where appropriate.
13. Confidentiality
AskRoby recognizes that Customer Content may include confidential commercial, contractual, financial, technical, strategic or personal information, even when such information does not constitute Personal Data.
AskRoby will treat as confidential Customer information that:
- is identified as confidential;
- due to its nature it should reasonably be understood as confidential; or
- is contained in private documents provided to the Service.
AskRoby will use such information only to provide, protect, maintain and support the Services or where there is Customer authorization or valid legal obligation.
Information that:
- is legitimately public without breach by AskRoby;
- AskRoby has been lawfully obtained from a third party without any duty of confidentiality;
- was already legitimately known to AskRoby; or
- has been independently developed without using Confidential Client Information.
Customer must also keep confidential AskRoby's non-public information that is reasonably confidential, including credentials, non-public technical information and trade secrets.
14. Privacy and data protection
The processing of Personal Data is described in Privacy Policy of AskRoby.
When AskRoby processes Personal Data on behalf of a Client acting as Controller, whether a natural or legal person, the AskRoby Data Processing Agreement will also apply. In that case AskRoby processes that Personal Data only on the Client's instructions and for the purposes stated in the Agreement, and does not disclose, assign or transfer it to other persons, not even for retention, except to authorized subprocessors to the extent necessary to provide the Service, on the Client's instruction, or where a competent authority requires it.
A natural person who uses AskRoby solely to organize their own documents does not automatically become a Controller of third-party data merely by doing so.
If the Client is an organization, the person accepting the Data Processing Agreement on its behalf represents that it has sufficient authority to bind it. If the Client is a natural person acting on his own behalf as Controller, he accepts the Data Processing Agreement on his own behalf.
Subsequently invited Authorized Users do not automatically enter into a new Data Processing Agreement simply by accepting an invitation.
15. Intellectual property of AskRoby
AskRoby and its licensors retain all rights to:
- software;
- code;
- designs;
- interfaces;
- databases;
- technology;
- documentation;
- brands;
- logos; and
- other elements of the Services,
except Customer Content.
These Terms do not transfer to Customer any ownership rights in AskRoby.
You may not copy, sell, license, distribute, modify or create derivative products from the Services unless expressly authorized or to the extent required by law.
16. Free Plan
AskRoby may offer a Free Plan.
Upon upgrading from a paid Subscription to the Free Plan in accordance with these Terms, the Account will have access to the features and limits of the then-current Free Plan.
As of the date of these Terms, the Free Plan allows you to create two new Memories.
AskRoby may change the features of the Free Plan in the future with reasonable notice where appropriate.
17. Pricing, payments and Merchant of Record
The prices applicable to the Services are displayed on AskRoby or during the purchasing process.
Transactions made through AskRoby checkout are processed by Polar Software, Inc., which acts as Merchant of Record for such transactions.
In this scheme, Polar manages the corresponding commercial and payment transaction, including, as applicable, functions related to billing, taxes, payment processing and transaction documentation. The Customer's right to access and use AskRoby is governed by these Terms.
Polar may issue the invoice, receipt or other proof corresponding to the transaction in accordance with its own terms, processes and legal obligations.
The Client is responsible for determining and complying with any accounting, tax, withholding, self-billing, documentation, registration, declaration or tax credit obligations that may apply to it under the laws of its jurisdiction.
AskRoby does not guarantee that documents issued by Polar are a substitute for any additional proof, record or document that Customer's local law may require.
18. Recurring Subscriptions
Recurring Subscriptions are charged in advance based on the frequency and price shown during the purchase process.
Before completing the purchase, the Customer will be shown relevant information regarding the price, renewal frequency and recurring nature of the Subscription.
By purchasing a recurring Subscription, Customer authorizes the applicable charges each renewal period until the Subscription is canceled in accordance with these Terms.
The Subscription will automatically renew at the end of each billing period, unless canceled by Customer prior to the applicable renewal date.
19. Renewal reminders
For recurring Subscriptions, AskRoby will attempt to send a reminder to the email associated with the Account approximately two days before the expected renewal and payment date.
The Client is responsible for:
- maintain a valid and updated email address;
- reasonably review communications related to your Subscription; and
- configure your mail provider, filters or safe sender lists where necessary to allow receiving messages from AskRoby.
AskRoby cannot guarantee that a message will be displayed in the Customer's main inbox or control spam filters, blocks, third party settings, temporary unavailability of mail providers or other circumstances beyond its reasonable control.
Failure to receive or read a reminder does not itself cancel or suspend a previously authorized renewal, unless an applicable mandatory rule provides otherwise.
20. Price changes
AskRoby may modify the prices of the Plans.
Price changes will not retroactively alter a period that has already been paid.
When an increase is to be applied to a future renewal of a Subscription, AskRoby will endeavor to inform the Customer before such price takes effect.
If you do not wish to continue with the new price, you may cancel the Subscription before the corresponding renewal.
21. Cancellation of a Subscription
You may cancel a recurring Subscription from the billing management features available in your Account.
The cancellation:
- avoid future renewals;
- does not itself generate a refund of the period already paid; and
- allows you to continue using the paid Plan until the end of said period.
21.1. Consequence at the end of the paid period
When the paid period ends after a cancellation:
- all existing Account Memories will be permanently deleted from the Service;
- the Account will automatically be transferred to the current Free Plan;
- Memories from the paid stage will not be transferred to the Free Plan; and
- The Client will be able to start again using the spaces available in the Free Plan, currently two new Memories.
Before the end of the paid period, the Client must download any information they wish to retain. From Settings, the Client can download a ZIP containing the retained page images as PDF files and readable text of the Memories in their personal space and workspaces they own. Original uploads are not included. The download page offers individual PDFs and ZIP packages of up to 25 MB each, including ZIP overhead. Packages are grouped by size, prepared only on request, and downloaded one at a time. Larger Memories are divided into PDF parts by page range; no retained pages are silently removed or reduced in quality. A single page that cannot fit within the limit is identified explicitly.
21.2. Notices after cancellation
When you cancel a Subscription, AskRoby will endeavor to confirm the cancellation and communicate:
- the date until which you will maintain access to the paid Plan;
- the planned date for deleting the Memories; and
- the need to download any information you want to keep.
AskRoby will also endeavor to send a reminder approximately two days before the planned deletion of the Memories as a result of the end of the paid period.
Failure to receive such a reminder does not automatically extend the paid period or create a right to subsequent recovery where deletion has already been executed, unless otherwise required by applicable law.
22. First payment refund guarantee
AskRoby offers a satisfaction guarantee for the first charge of a new paid Subscription.
During the first seven days from said charge, the Customer may request a full refund through the function enabled in their Account.
The Client is not obliged to justify his decision. AskRoby may optionally request the reason for the refund to improve the Service, but responding will be voluntary.
This guarantee:
- applies only to the first charge of a new Subscription;
- it does not start again due to a change or upgrade of the Plan;
- does not apply to subsequent renewals;
- does not apply to Refills or Top-ups; and
- does not limit mandatory rights that may correspond to the Client by law.
22.1. Refund effects
Before confirming the refund, AskRoby will inform the Customer of the consequences of continuing.
Once the refund has been requested and processed:
- the paid Subscription will end;
- the existing Memories will no longer be available and their permanent deletion will begin;
- the Client must have previously downloaded any information they want to keep; and
- The Account will remain active in the Free Plan, currently with the ability to create two new Memories.
AskRoby does not subsequently offer a recovery service for Memories deleted as a result of such refund.
23. Goodwill Renewals and Refunds
Except for applicable mandatory rights, renewal charges are non-refundable as a contractual rule.
However, AskRoby may, in its sole discretion, grant an exceptional or goodwill refund where it believes the circumstances justify it.
Said decision:
- does not constitute a permanent obligation;
- does not create a right to future refunds;
- does not modify the policy applicable to other Accounts; and
- may consider factors such as the date of the charge and recent use of the Service.
The internal criteria used to evaluate these cases are not part of this Agreement.
24. Refills and Top-ups
Refills or Top-ups are separate purchases from the Subscription.
They do not participate in the seven-day money-back guarantee applicable to the first charge of a new Subscription.
Except for billing error, legal requirement or other circumstance expressly accepted by AskRoby, Refills are not refundable.
When a payment or Top-up is effectively refunded, AskRoby may withdraw or adjust the credits, capabilities or benefits associated with that payment.
25. Deleting a Memory
Deleting a Memory is not the same as canceling a Subscription or closing an Account.
When the Customer deletes a Memory:
- Memory immediately enters the deletion cycle;
- may remain recoverable through the functions of the Service for a period of up to approximately two days;
- once said period has ended and the final deletion has been carried out, it is no longer available; and
- after permanent deletion, AskRoby does not provide an individual recovery service from internal or infrastructure copies.
AskRoby should not be used as a substitute for the Client's original file.
26. Backup and recovery
AskRoby maintains processes and technical copies intended for operational continuity and failure recovery.
These mechanisms:
- exist to protect and maintain the infrastructure of the Service;
- they do not constitute a second bin for the Client;
- they do not constitute a historical archive service; and
- do not create an obligation to individually recover a Memory after its definitive deletion.
The Client is responsible for retaining its own copies.
27. Account Closure
Closing an Account is different from canceling a Subscription.
When the Client requests to close the Account and expressly confirms the action:
- AskRoby will first cancel any active billable Subscription associated with the Account, so that no future renewals are generated;
- access to the Account and its Memories will terminate immediately and irreversibly from the Client's perspective;
- the removal of the associated Content will begin in accordance with the applicable technical and legal processes;
- Memories will no longer be available for recovery through AskRoby; and
- Account's relationship with AskRoby will terminate.
Before confirming the closure, AskRoby will clearly warn that the action is irreversible and will recommend the Client individually download any Memory or information that they want to keep.
AskRoby does not guarantee that all technical or residual copies will disappear from each infrastructure provider at exactly the same moment that the Client confirms the closure. Technical deletion cycles are described in the Privacy Policy and, where applicable, the DPA.
However, a closed Account and its Memories are no longer available and recoverable through AskRoby from the Client's point of view once closure is confirmed.
28. Suspension or termination by AskRoby
AskRoby may suspend or restrict an Account when reasonably necessary to:
- respond to a security risk;
- prevent fraud or abuse;
- investigate a material violation of these Terms;
- fulfill a legal obligation;
- protect third party rights;
- resolve non-payment; or
- protect the stability or integrity of the Services.
Where reasonably possible and there is no security urgency or legal prohibition, AskRoby will endeavor to inform the Client and offer a reasonable opportunity to correct a correctable breach.
AskRoby may terminate an Account for material breach, unlawful activity, fraud, gross abuse, persistent non-payment or other reasonable cause permitted by law.
28.1. Non-payment of a Subscription
When a renewal charge cannot be completed:
- the Merchant of Record retries collection during the following weeks and sends the Client its own notices, with a link to update the payment method;
- AskRoby also sends its own notices, on the dates indicated below, to the Account email and, when the Client has provided them, to the additional contact channels registered in their profile; and
- The Client retains normal access to the Service during the first seven days counted from the first failed payment.
28.2. Suspension from the seventh day
If by the seventh day the payment has not been regularized:

the Account is suspended;
-
the Client will be able to log in, but will not be able to access their Memories or use the functions of the Service;
-
the Memories are not deleted at that time: they are kept intact; and
-
The Client may settle the payment at any time, either by updating their payment method or by subscribing again when the Merchant of Record has stopped retrying the payment.
When the payment is regularized before the deletion date, the Account regains access and the Memories remain as they were.
Since during the suspension the Client cannot access their Memories, any information that the Client wants to keep on their own computers must be downloaded within those first seven days.
28.3. Deletion after forty-five days
If forty-five days pass since the first failed collection without the payment being regularized:
- all existing Account Memories will be permanently deleted from the Service;
- the Account will automatically be transferred to the current Free Plan; and
- The Client will be able to start again using the spaces available in said Plan, currently two new Memories.
Before that date, AskRoby will endeavor to notify the Customer on several occasions – approximately seven, twenty-one, thirty and forty-four days – indicating in each notice the exact date of deletion and the remaining days.
Once the deletion has been carried out, AskRoby does not offer a recovery service for said Memories.
28.4. Reception of notices
Billing, suspension and removal notices are sent via email.
The Customer is responsible for keeping their email address up to date and for ensuring that messages from AskRoby are not blocked or classified as spam. It is recommended that you add the AskRoby sender to your contacts or safe senders list.
The fact that a notice is filtered, blocked or classified as spam by the Client's mail provider does not suspend or extend the deadlines indicated in this Section.
The Customer can register additional contact channels in their profile – a second email and a WhatsApp number – so that AskRoby can contact them directly if a billing problem occurs, including in the event that an Account is to be suspended or its Memories are to be deleted for non-payment. Providing them is voluntary.
29. Changes to these Terms
AskRoby may update these Terms.
Changes will be reasonably classified as material or non-material.
29.1. Non-material changes
Clarifying, administrative, technical changes or changes that do not substantially alter the rights or obligations of the Client may come into force by publication of the new version and reasonable notice.
29.2. Material changes
When a change materially modifies rights or obligations, AskRoby:
- will retain the previous version;
- will notify affected Customers; and
- where applicable, will request a new express acceptance before allowing normal continuation of use of the Services.
Acceptance of legal versions may be recorded electronically along with the version, archived content, hash, language, corresponding Account or organization, date and other relevant evidence.
30. Communications
AskRoby may send legal, operational, security, billing and support communications through:
- email;
- notices within the Service; or
- other reasonable mechanisms available in the Account.
The Client is responsible for keeping their contact information updated.
Messages sent correctly to the registered address will be considered validly addressed communications, without prejudice to mandatory rights that require a different mechanism.
31. Absence of absolute guarantee
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”.
ASKROBY DOES NOT WARRANT:
- UNINTERRUPTED SERVICE;
- TOTAL ABSENCE OF ERRORS;
- ABSOLUTE ABSENCE OF SECURITY INCIDENTS;
- THAT EVERY DOCUMENT CAN BE PROCESSED PERFECTLY;
- THAT EVERY AI RESPONSE IS ACCURATE; OR
- THAT THE SERVICES ARE SUITABLE FOR ANY PARTICULAR PURPOSE NOT EXPRESSLY AGREED TO.
Nothing in these Terms excludes any warranties or liabilities that cannot legally be excluded.
32. Limitation of liability
32.1. Exclusion of certain damages
To the maximum extent permitted by law, AskRoby will not be liable for any indirect, incidental, special, punitive or consequential damages, nor for lost profits, loss of opportunity, loss of revenue, loss of anticipated savings, loss of reputation or loss of business, where such categories can validly be excluded.
This exclusion will not apply when a mandatory rule prohibits the exclusion of certain liability.
32.2. Limit for Paid Services
To the maximum extent permitted by law, AskRoby's total cumulative liability arising from or related to the Services or these Terms shall not exceed the total of amounts actually paid or payable by Customer for the Services during the twelve months immediately preceding the event giving rise to the claim.
For that calculation:
- Subscriptions are included;
- includes Refills and other unrefunded amounts paid for the Services;
- taxes are excluded;
- refunded amounts are excluded; and
- only the twelve months prior to the corresponding event are considered, even if the relationship with the Client lasts longer.
If the Client has used a paid Service for less than twelve months, only the amounts corresponding to the period that has actually elapsed will be considered.
32.3. Totally free services
Where the claim relates exclusively to Services provided entirely free of charge, including a free trial or pilot, AskRoby's total cumulative liability will not exceed $10.
32.4. Non-limitable responsibilities
Nothing in these Terms limits or excludes liability to the extent that such liability cannot be legally limited or excluded.
Nor are the mandatory rights that correspond directly to interested parties in matters of Personal Data protection limited by this clause.
33. Indemnification for business or professional use
When you use AskRoby:
- on behalf of a company or organization; or
- mainly for commercial or professional purposes,
You agree to indemnify José Julio Córdova Jaramillo, operating under the AskRoby brand, against reasonable third-party claims arising directly from:
- Content that you have provided without the right to do so;
- infringement by you of third party rights;
- illicit use of the Services; or
- material breach of these Terms.
This obligation will not apply to the extent that the claim is caused by AskRoby's own breach, fraud, fault or other liability.
Nothing in this clause imposes on a consumer any obligation that cannot validly be imposed on him or her under applicable law.
34. Force majeure
AskRoby will not be liable for any delays or failures caused by circumstances beyond its reasonable control, including:
- natural disasters;
- fires;
- floods;
- conflicts;
- riots;
- widespread Internet interruptions;
- telecommunications failures;
- failures of critical suppliers;
- unavailability of cloud infrastructure;
- third party attacks;
- government decisions;
- unforeseen legal changes; or
- other comparable events.
This clause does not exempt AskRoby from taking reasonable continuity and mitigation measures where appropriate.
35. Assignment
The Client may not assign this Agreement to a third party without the prior consent of AskRoby, except where applicable law provides otherwise.
AskRoby may assign or transfer this Agreement, in whole or in part:
- to a company that continues the AskRoby business;
- as part of a reorganization;
- in the event of incorporation of AskRoby as a company;
- in connection with a sale, merger or substantial transfer of the business; or
- to a legitimate successor.
When such transfer materially affects the Client, AskRoby will endeavor to communicate it and ensure that the successor assumes the applicable contractual obligations.
36. Third Party Services and Providers
AskRoby relies on certain third-party providers to operate.
Use of third-party services may additionally be subject to the terms of such providers where applicable.
AskRoby shall not be liable for independent acts of third parties beyond its reasonable control, without prejudice to AskRoby's obligations directly to the Customer under the law or the DPA.
37. Consumer rights
AskRoby can be hired by natural persons.
If you use AskRoby as a consumer and the applicable laws of your country grant you mandatory rights that cannot be contractually waived, these Terms do not eliminate or limit those rights.
Where there is a conflict between a provision of these Terms and a mandatory consumer protection rule applicable to the Customer, such rule will prevail to the extent of the conflict.
38. Complete agreement
These Terms, together with:
- the Privacy Policy;
- the DPA when applicable;
- the specific conditions displayed during a purchase; and
- any additional written agreement applicable to the Client,
constitute the agreement between AskRoby and the Client regarding the Services.
An individual contract entered into between AskRoby and a Customer may modify certain provisions of these Terms solely with respect to such Customer.
In the event of a conflict, the individual agreement will prevail only with respect to the matters that it expressly modifies.
39. Divisibility
If any provision of these Terms is held invalid, illegal or unenforceable, such provision will be interpreted or reduced to the minimum extent necessary to make it valid where possible.
The other provisions will continue in force.
40. No waiver
AskRoby's failure to immediately exercise a right provided for in these Terms does not constitute a permanent waiver of that right.
41. Applicable law and jurisdiction
These Terms are governed by the laws of the Republic of Ecuador.
Except when a mandatory norm provides otherwise, the parties submit to the competent judges of the Metropolitan District of Quito, province of Pichincha, Ecuador.
Where the Customer has mandatory consumer, privacy or data protection rights that require the application of another law, authority or jurisdiction, this clause is not intended to exclude those rights.
